There are 5 Members of Venn Academy Trust and these are detailed below. Members are subscribers to the Memorandum and Articles of Association and no changes can be made to the Articles without member approval. Members have an overview of the governance arrangements of the trust and have the power to appoint trustees and remove these trustees.

Ted Burnside - Ted is a retired senior executive and management consultant. He has worked with huge international organisations including BP Oil, Reckitt Benckiser and PriceWaterhouseCoopers to name but a few. Having studied two degrees in Chemical Engineering and Management Science and Operations Research Ted is now studying for a BA at the Open University, proving learning is a something you do right through life.

Chris Fenwick

Chris Fenwick - Chris is a retired computer auditor and has 40 years experience in a variety of governor roles. He believes all children should have the opportunity to achieve their potential irrespective of their background and starting point.

Mel McAlindon - Mel spent 6 years in the Police before moving into a High Street retailing environment, working with Bhs and Specsavers where he has focused on Risk, Audit and Governance both within the UK and globally. Most recently Mel has set up his own company which manages corporate risk. Mel believes passionately in education having seen his three children all educated in Hull schools and Colleges.

Becky Welbourne - Becky is a married mum with 30 years experience of working in the public sector for central and local government in the area of finance. She is degree educated through the Open University and has an MBA which was taken at Hull University. She has been a primary school governor for 15 years and is currently completing a Masters in Law, in Public Procurement Law and Policy.

Michael Dickinson - Mike is a professional engineer with over 50 years experience. Having spent the first 30 years in the Royal Air Force before seeking a new challenge, Mike has since worked for a number of international companies managing large infrastructure and rail projects all over the world. Mike believes that all children should have the educational opportunity to explore their true potential.

TRUSTEES

Board of Directors
The Board of Directors comprises the trustees, also known as Directors, and these are detailed below. Directors are responsible for managing the Academies on behalf of the Trust in accordance with the articles of association. The Governance Handbook states that Board trustees have three core functions and these are: 1 Ensuring clarity of vision, ethos and strategic direction; 2 Holding the headteacher to account for the educational performance of the school and its pupils, and the performance management of staff and; and 3 Overseeing the financial performance of the school and making sure its money is well spent.

Terry Johnson

Terry Johnson (Chair) - Terry retired in 2013 having worked for Hull City Council and Hull & East Yorkshire Hospitals. He was heavily involved in the design and delivery of national accredited courses. Terry also worked for the Home Office in major incident and mass fatality planning.  Terry strongly believes that all children should have the best education possible and if he can help and support the Trust academies to deliver this he will be achieving his ultimate goal.

Vincent Blake-Barnard (Vice Chair) - Vincent is a Barrister, specialising in public sector law. He has worked with schools in the capacity of governor, a parent and through his work as a Local Government Solicitor for authorities including Hull and East Riding. Vincent’s aim as a Director of Venn Academy Trust is to support the vision of the schools in the Trust, and to contribute to developing excellent education in Hull.

Paul Wilson (Director) - Paul has over ten years of transformation expertise in Education and Local Government, particularly within Children’s & Education services. He specialises in redesigning service delivery and commissioning practice, contract monitoring and in implementing cost reduction measures. Paul is committed to improving the education outcomes of our children and young people so that they have the best possible opportunities to succeed in their lives.

INDEPENDENT AUDIT COMMITTEE

Stuart Clark

Stuart Clark (Chair)- I trained and qualified as a Chartered Accountant in Hull with an international firm before moving to London to work for an investment bank. On relocating back to Hull some years later I worked as a trainer and lecturer in Finance before working on public sector finance projects and audits for 15 years. I have spent the last few years as a Partner and Registered Auditor in a private accountancy firm dealing with all manner of business related issues. I am also Deputy Chair of the Audit Committee at Hull College. I have a strong belief in the idea of public service and the Nolan Principles and I hope that my skills and experience can be used beneficially for students. I strongly believe in the right of all children to have an equal opportunity in accessing a good education. I have particular strengths in Audit. Finance and Risk Management and an understanding of the education system.

Sheila Wallace-Marshall - Sheila has a wealth of education experience being a former Headteacher and Local Leader in Education. Sheila acts as a critical friend to the school and ensures support, challenge and rigor to the leadership of Thorpepark.

Lynn Bratton - Lynn brings a wealth of experience in education and administration having worked in schools for over 25 years. Her particular strengths are in HR and Finance.

Committee Terms of Reference

The Committee Terms of Reference set out the purpose of each committee, the functions delegated to each committee, frequency of meetings, and membership and quorum.

Under the Trust’s Scheme of Delegation, operational accountability for individual academies is delegated to the Local Governing Bodies established by the Trust for this purpose. Local Governing Bodies’ Terms of Reference are set and agreed by the Board annually in the summer term ready for the new academic year.
